MAJOR PROJECTS

Advising the bankruptcy administrator of AB bankas SNORAS (bankrupt), UAB Valnetas, on issues related to the bankruptcy of the bank, administration of problematic assets, collaterals and transfer thereof as well as regulatory issues, including insurance of deposits and the issue of banking secrecy (2014–present);

Advising the bankruptcy administrator of AB ŪKIO BANKAS (bankrupt), UAB Valnetas, on issues related to the bankruptcy of the bank, administration of problematic assets, sale of the bank’s loan portfolio, collaterals and transfer thereof as well as regulatory issues (2014–present);

Representing insolvent bank BAB Ūkio Bankas in court cases with the aggregate value exceeding EUR 200 million (2014–present);

Advising the bankruptcy administrator in the insolvency proceedings against insolvent airlines AB Air Lituanica, including, but not limited to, representation in court cases with the creditors of insolvent AB Air Lituanica (2016–present);

Advising the bankruptcy administrator in the insolvency proceedings against one of the biggest Lithuanian IT companies, UAB “ERP”, including, but not limited to, representation in civil cases with the management of the company, debtors, as well as in the case of deliberate insolvency (2013–present);

Advising one of the biggest creditors in the insolvency proceedings against maritime shipping company AB Lietuvos jūrų laivininkystė, including, but not limited to, in the court case regarding deliberate insolvency;

Representing one of the biggest state-owned companies in Lithuania, AB Lietuvos geležinkeliai, in various disputes, advising the railway company on its activity and regulatory issues (2013–present);

Successfully represented a construction company, BUAB Ranga-IV, in the dispute with German company Nukem Technologies GmbH regarding relationships arising out of the contract for construction (FIDIC) of the temporary nuclear fuel storage (B1) of the Ignalina Nuclear Power Plant (2012–2013).

OTHER EXPERIENCE

Advised Medicinos bankas on the acquisition of the loan portfolio with the nominal value of EUR 30 million. Performed extensive legal due diligence and an analysis of regime over security (including credit insurance, state guarantees, etc.) related to the respective loans (2017);

Advised Medicinos bankas on regulatory matters pertaining, inter alia, to internal risk assessment rules, changes in legislation, etc. (2017);

Advised investors and payment institutions on establishment, licensing issues and activities of a financial brokerage firm (2010–2013);

Represented foreign citizens and legal persons of the Republic of Lithuania in the negotiations with AB SEB Bankas regarding the acquisition of a property complex mortgaged to the bank (value of the transaction: LTL 3 million) (2010–2013);

Advised and represented a Lithuanian company on financing, financial restructuring issues (value of financing: LTL 40 million) (2011–2012);

Represented a Lithuanian company on issues of restructuring its operations and transformation of its loan portfolio (worth LTL 8 million) (2011–2012);

Represented more than 500 investors in the dispute with AB bankas Snoras regarding the redemption of an unregistered shares issue (2013);

Represented a group of investors (over 150) in the dispute with Russian concern Eurochem regarding the squeeze-out of AB Lifosa shares; entered into a settlement agreement on behalf of the represented investors in this process, increasing the price of squeezed-out shares by 15 percent (2011);

Represented a US pharmaceutical company before the expanded panel of the European Court of Justice regarding the issues pertaining to the Treaty of Accession of Lithuania to the European Union and the regulation on patent protection (2010);

Successfully represented a Swiss company in a case regarding the use of the trademark Davidoff in Lithuania, the Swiss company won the case (2010);

Represented a minor shareholder of AB SEB Bankas in a case regarding the squeeze-out price of SEB shares, the minor shareholder won the case (2009).

Represented a US company in a civil case against a Lithuanian company for award of the debt and contesting of transactions, secondary liability of the shareholder (value of the dispute: about LTL 36 million) (2011–2013);

Advised a major technical gas producer in Lithuania on operational issues, prepared transactions of restructuring and merger of this company, successfully represented the company in disputes (2007–2013);

Advised VšĮ Lietuvos Muzikos ir Teatro Akademija on changing its legal status, organization of its management, other operational issues (2011–2012).
